RumbleOn Announces Appointment of Interim CEO and Resolution of Proxy Contest
RumbleOn, Inc. (NASDAQ: RMBL) (“RumbleOn” or the “Company”), the nation’s first technology-based powersports platform, today announced that the Board of Directors (“the Board”) has appointed Mark Tkach, the Co-Founder of the RideNow powersports group, acquired by RumbleOn in August of 2021, and a major shareholder, to serve as the Interim Chief Executive Officer of the Company, following the resignation of Marshall Chesrown from that role on June 15, 2023. During Mr. Tkach’s interim service, the Board’s Executive Transition Committee will continue its efforts to identify a permanent CEO.
“We thank Mr. Tkach for his willingness to assist during this time of transition and are confident that his deep knowledge and experience in the powersports industry will provide enhanced opportunities for operational excellence as the Company works to identify a permanent successor,” said Steve Pully, Chairman of the RumbleOn Board of Directors.
In addition, the Company announced that it has reached an agreement in principle that will be memorialized in a definitive agreement with the Coulter-Tkach Group to resolve all outstanding proxy matters currently subject to contest at the Annual Meeting of Shareholders, scheduled for July 14, 2023. The Company and Messrs. Coulter and Tkach have agreed to end the proxy contest on the following terms:
- The Board will expand temporarily from seven to nine members to allow Melvin Flanigan and Mark Tkach to immediately join the Board.
- Steve Pully is named Chairman of the Board.
- Mr. Coulter named as a Board observer until his election at 2023 Annual Meeting, with access to all Board activities and access to books and records.
- Reorganization of Board Committees, including:
- Nominating and Corporate Governance: Shin Lee (Chair), Becca Polak Melvin Flanigan
- Audit: Melvin Flanigan (Chair), Steve Pully, Kevin Westfall

About Mark Tkach
Mr. Tkach currently serves as a consultant for Coulter Management Group, LLLP, a business that manages auto dealerships and investments in real estate. Mr. Tkach previously served as a Director and as an executive officer of the Company from August 2021 until February 2022. Prior to joining the Company, Mr. Tkach served as a co-founder of RideNow and oversaw its strategic growth from 1989 until it was acquired by the Company in August of 2021. Mr. Tkach has over 40 years of experience in all aspects of powersports operations.

Mr. Flanigan most recently served as an advisor for Camping World Holdings, Inc., a leading retailer of RVs and outdoor products and services in the United States, from July 2020, until his retirement in December 2020. He previously served as Chief Financial Officer and Corporate Secretary of Camping World Holdings, Inc. from January 2019 to June 2020, during which time he oversaw a significant turn-around in corporate and functional communication, structure, and performance. Prior to joining Camping World, Mr. Flanigan served briefly as Chief Financial Officer of I am Plus LLC from June 2018 to July 2018. Before that, Mr. Flanigan served as the Executive Vice President, Finance and Chief Financial Officer of DTS Inc., a company specializing in high-definition and wireless audio from September 2003 to December 2016. During that time, Mr. Flanigan also served as a member of DTS, Inc.’s operating subsidiary boards. At DTS Inc., Mr. Flanigan helped transform a small startup company into an industry leader that was ultimately acquired for nearly $1 billion. Form March 1996 to July 1999, Mr. Flanigan served as Chief Financial Officers and Vice President, Operations at SensArray Corporation, a supplier of thermal measurement products for semiconductor, LCD, and memory-disk fabrication processes.

Suzuki and Pipes Motorsports Group Announce RM Army Boot Camp #3
Suzuki Motor USA and the Pipes Motorsports Group are pleased to announce the third in a series of RM Army Boot Camp events for riders of Suzuki RM and RM-Z motocross bikes.
Scheduled for Thursday, July 13th at Spring Creek MX Park, Millville, MN. The Boot Camp at Spring Creek MX Park is set for 10 AM to 5 PM, with rider sign-ins starting at 9 AM at the track’s Suzuki compound.

The Suzuki RM Army Boot Camp lets Suzuki RM and RM-Z owners hang with some of their favorite Suzuki racers at select MX tracks around the country.
The RM Army Boot Camp is a one-day event featuring an exclusive, friendly experience with MX track ride sessions, bike setup coaching and tech tips from the Pipes Motorsports Group’s Supercross racing team technicians and pro riders*, a Suzuki product display, rider interaction, food, refreshments, and fun at some of the best pro and amateur motocross tracks in the USA.
Attendees will also walk away with great memories and exclusive RM Army Boot Camp gear to commemorate their day at the track.
Based on the outstanding success of the first and second RM Army Boot Camp held earlier in April at DT-1 MX Park in Tulare, CA, and Perris Raceway in Perris, CA, the momentum behind the third event in the series is strong and building. With more than 200 attendees enjoying the hospitality and expertise of the Pipes Motorsports Group and Suzuki staff, all had a great couple of days.
All current Suzuki RM and RM-Z owners are encouraged to attend these once-in-a-lifetime events, which are complimentary for being loyal Suzuki owners and honorary RM Army recruits.

BMW Motorrad celebrates one millionth GS with boxer engine
Today, the 1,000,000th GS equipped with a boxer engine rolled off the production line at the BMW Motorrad plant in Berlin-Spandau – a BMW R 1250 GS.

Its outstanding talents, such as dynamic riding performance, brawny off-road qualities, superior long-distance comfort and enormous robustness, have since been continuously developed by BMW Motorrad and transferred to other BMW Motorrad model series with great success. I am therefore very pleased that today, and especially in our “100 Years of BMW Motorrad” anniversary year, we are able to contribute a major milestone to the corporate history of the BMW Group with the one millionth BMW GS motorbike with a boxer engine. I am equally pleased that the unique history of BMW Motorrad models with boxer engines will soon be supplemented by an exciting chapter with numerous innovations with the new R 1300 GS.”
The one millionth BMW GS with a boxer engine is an R 1250 GS in Triple Black Style and was duly celebrated today, 21 June 2023, during a works meeting at the BMW Motorrad plant in Berlin-Spandau.

The celebrations marking the 100th anniversary of BMW Motorrad are continuing at pace. After the big party at the BMW Motorrad Days, where thousands of motorcycle fans from all over the world are expected from 7 to 9 July 2023, BMW Motorrad Welt will officially open its doors on 28 September. In the new “heart of the brand” – located directly next to the BMW Motorrad plant site in Berlin-Spandau – the eagerly awaited new BMW R 1300 GS will be presented at an exclusive opening event. Interested fans will have the opportunity to follow the opening ceremony via livestream on the BMW Group and BMW Motorrad social media channels. From 30 September 2023, BMW Motorrad Welt in Berlin will then be open to all visitors.
The BMW R 80 G/S: Initial spark for a new motorcycle segment.
In autumn 1980 BMW Motorrad presented the R 80 G/S, a motorcycle which combined two very special areas of riding for the first time: Off-road and on-road. What began with 798 cubic centimetres of displacement and 50 hp has developed over more than four decades into a fascinating high-tech touring enduro of the calibre of the current BMW R 1250 GS. Complemented by state-of-the-art chassis technology and electronic control systems such as ABS, traction control, engine drag torque control, semi-active suspension and a great deal more. It is also thanks to this ongoing and consistent advancement that the BMW GS models with boxer engine have advanced to become the most sought-after touring enduros in the world to this day.
