RumbleOn Reports Fourth Quarter and Full Year 2024 Financial Results
RumbleOn, Inc. (NASDAQ: RMBL), (“RumbleOn” or “the Company”), today announced financial results for its fourth quarter and full year ended December 31, 2024.
Key Fourth Quarter 2024 Highlights (Compared to Fourth Quarter 2023):
- Revenue of $269.6 million decreased 13.4%
- Net loss totaled $56.4 million compared to net loss of $168.5 million, including intangible asset impairment charges of $39.3 million in 2024 and $60.1 million in 2023. Net loss in 2023 also included an increase in the deferred tax valuation allowance that resulted in income tax expense of $59.3 million being recorded on a loss.
- Selling, general & administrative expense (SG&A) was $64.2 million compared to $81.7 million
- Adjusted EBITDA(1) of $2.2 million compared to a loss of $0.3 million
Key Full Year 2024 Highlights (Compared to Full Year 2023)
- Revenue of $1,209.2 million decreased 11.5%
- Net loss totaled $78.6 million compared to net loss of $215.5 million
- Selling, general & administrative expense (SG&A) was $275.4 million compared to $347.3 million
- Adjusted EBITDA(1) of $32.9 million decreased 12.0%
Other Highlights:
- Fully repaid $38.8 million of 6.75% convertible senior notes upon maturity in January 2025
- Raised $10 million in a rights offering
- Completed a sale-leaseback for a dealership property with gross proceeds of $4.0 million
- Entered into a new $16.0 million floor plan line for pre-owned inventory with a related party
- Reduced inventories by $106.9 million and floor plan notes payable by $81.4 million during the year
- Operating cash inflows for 2024 totaled $99.4 million compared to cash outflows of $38.9 million in 2023
- Reduced Non-Vehicle Net Debt(1) in 2024 by $60.8 million to $182.1 million

Polaris Promotes Matt Winings to Senior Vice President and General Counsel
Polaris Inc. (NYSE: PII), today announced it is promoting Matt Winings to senior vice president, general counsel and corporate secretary for Polaris. Winings joins the Company’s executive leadership team and will report to Polaris CEO Mike Speetzen, effective immediately. In this leadership role, Winings will oversee all of Polaris’ legal, compliance, regulatory, government affairs and governance practices across its global businesses. He joined Polaris in 2023 as vice president and assistant general counsel.
“As a highly skilled attorney, Matt has been an incredible asset to Polaris over the last two years with a proven track record of providing strategic and business-focused counsel,” said Speetzen. “His deep legal acumen and understanding of our industry’s complex matters, along with the already strong relationships he’s built across our businesses, will be invaluable as he transitions into the role of general counsel for Polaris.”
Winings brings nearly two decades of legal expertise to his role as general counsel. Prior to joining Polaris, Winings spent more than 10 years with Cummins Inc. serving in various senior legal roles, including internationally in the company’s London office. Prior to that, he practiced in the litigation group at Barnes & Thornburg LLP. Winings holds a J.D. from Indiana University Maurer School of Law. He earned a bachelor’s degree from Indiana University.
